By accessing the VeridiAI website, contracting our software development services, or entering into an agreement with VeridiAI, you acknowledge that you have read, understood, and agreed to be bound by these Terms of Service and any referenced statements of work.

If you are accepting these terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these provisions.

VeridiAI provides specialized software engineering and technology consulting services. Our core offerings include custom web application development, native and cross-platform mobile application engineering, cloud infrastructure architecture, and software-as-a-service (SaaS) solution delivery.

Detailed project specifications, deliverables, milestones, acceptance criteria, and schedules are formally documented in individual Statements of Work (SOW) or master service agreements executed between VeridiAI and the client.

You agree to use our website, developer environments, and client portals solely for lawful purposes. You shall not engage in any activity that interferes with, disrupts, or compromises the security or integrity of our systems, repositories, or networks.

Unauthorized access, automated data scraping, reverse engineering of non-licensed proprietary materials, or introducing malicious code into our development environments is strictly prohibited.

Upon full and final payment of all agreed fees for custom deliverables outlined in an active Statement of Work, VeridiAI transfers to the client all right, title, and interest in the custom code and bespoke deliverables authored specifically for the client.

VeridiAI retains all ownership rights, titles, and interests in our pre-existing frameworks, proprietary utility libraries, reusable modules, boilerplates, and foundational development tools used to produce the project.

VeridiAI grants the client a perpetual, non-exclusive, worldwide license to use and deploy any integrated proprietary components strictly as bundled within the final deliverable.

Successful delivery requires clear, timely collaboration. The client agrees to provide necessary business requirements, brand assets, third-party API credentials, content, and relevant access permissions in a timely manner according to project timelines.

Delays in feedback, testing, milestone approvals, or required dependency provisioning may impact project schedules and adjust target completion milestones accordingly.

To the maximum extent permitted by applicable law, in no event shall VeridiAI, its directors, employees, or partners be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, goodwill, or business disruption arising from or in connection with the services.

VeridiAI's total aggregate liability arising out of or related to these terms or any applicable Statement of Work shall not exceed the total fees paid by the client to VeridiAI under the specific Statement of Work giving rise to the claim during the six (6) months immediately preceding the event.

Either party may terminate an ongoing service agreement or project engagement in accordance with the specific termination provisions set forth in the executed Statement of Work, or immediately upon written notice if the other party breaches any material term and fails to cure such breach within thirty (30) days.

Upon termination, the client shall promptly compensate VeridiAI for all billable hours, completed milestones, and approved incurred expenses up to the effective termination date.

These Terms of Service and any associated legal disputes shall be governed by and construed in accordance with the laws of the applicable jurisdiction where VeridiAI is registered, without giving effect to any conflict of law principles.

The parties agree that any formal dispute, controversy, or claim shall be resolved through good-faith negotiation before submitting to competent arbitration or local courts in that jurisdiction.

VeridiAI reserves the right to revise, amend, or replace these Terms of Service periodically to reflect changes in legal requirements, operational standards, or service capabilities.

The updated version will be indicated by the 'Last updated' date at the top of this document. Continued engagement with our services after changes are posted constitutes acceptance of the updated terms.
